Unlimited License Agreement
This Unlimited License Agreement (the “Agreement” or the “License”) is made and entered into as of the Effective Date by and between Movie J (the “Licensor”) and the individual or entity filling in their details below (the “Licensee” or “You”). This Agreement sets forth the terms and conditions governing the Licensee’s unlimited use of the Licensor’s instrumental music file(s) (the “Beat(s)” or “Composition(s)”), in exchange for the License Fee, under the terms of the Unlimited License.
1. Master Use
The Licensor grants the Licensee a non-exclusive, non-transferable, unlimited license to use the Beat(s) for the creation of one or more new songs or derivative works (the “New Song(s)”). The New Song(s) may include:
- Unlimited distribution in physical and digital formats.
- Unlimited sales of records, albums, and compilations.
- Unlimited audio and video streams on platforms such as Spotify, Apple Music, YouTube, etc.
- Unlimited performances in live shows, live streams, and concerts.
- Unlimited monetized video streams and synchronization placements (movies, TV, ads, video games, etc.).
The Licensee must create a New Song to activate their rights under this Agreement. The sale or redistribution of the Beat(s) in its original form is strictly prohibited.
2. Ownership and Rights
The Licensor retains all rights, title, and interest in the Beat(s), including copyrights to the sound recording and underlying musical compositions. This Agreement does not assign any rights of ownership to the Licensee.
- The Licensee owns all original lyrics and musical contributions added to the Beat(s) in the New Song(s).
- The Licensee may not register the Beat(s) or New Song(s) with a copyright office or distribute the Beat(s) in isolation.
3. Publishing and Royalties
The Licensee and Licensor agree to the following royalty and publishing splits:
- Licensee (Customer): 50% Writer’s Share.
- Licensor (Movie J): 50% Writer’s Share and 50% Publisher’s Share.
The Licensee must register all New Song(s) with their Performing Rights Organization (PRO) and properly attribute the Licensor’s ownership share.

4. Credit
The Licensee agrees to provide credit to the Licensor in all instances where the Beat(s) are used. This credit must read:
Produced by Sensei Movie J or Beat by Sensei Movie J.
For beats with hooks or featured singers, the Licensee must provide credit in the format: (feat. ‘Singer’s Name’).
5. Distribution and Usage Rights
This Unlimited License grants the Licensee:
- Unlimited copies of records, vinyl, CDs, or other audio/digital recordings.
- Unlimited monetized streams on platforms like Spotify, Apple Music, and YouTube.
- Unlimited synchronization rights for use in movies, advertisements, and other media projects.
- Unlimited video streams and video placements on platforms such as YouTube and Vimeo.
- Unlimited profitable live performances and broadcasts.
6. Delivery of Files
The Licensor will deliver the Beat(s) electronically via email or download link. Files will include high-quality WAV and MP3 formats, and tracked-out stems (if applicable).
7. Content ID and YouTube Policy
The Licensor retains the right to register the Beat(s) with YouTube Content ID systems to protect the intellectual property. The Licensee may not register the Beat(s) or New Song(s) with Content ID systems, as this could conflict with other non-exclusive licenses.
In the event of a copyright claim from Content ID, the Licensee must provide proof of purchase to resolve the dispute.
8. Prohibited Uses
The Licensee may not:
- Resell, sublicense, or redistribute the Beat(s) in isolation.
- Create derivative works for resale or inclusion in sound libraries, loop packs, or sample kits.
- Share the Beat(s) with any third party not directly involved in creating the New Song(s).
9. Term
This Agreement is valid in perpetuity, provided the Licensee complies with all terms.
10. Governing Law
This Agreement shall be governed by the laws of the Licensor’s jurisdiction: [Specify Jurisdiction].
